HOW DOES RETEX WORK?

WHY JOIN?

Our Bylaws state "one share, one vote." This principle assures members that all program development, implementation and management will be provided for their exclusive benefit.

In order to define and describe the three independent relationships between Retex, the member company and the solution provider offering services, four separate agreements are eventually executed. This model illustrates which agreement(s) are utilized by each party.

Retex funds and conducts all program assessments, solution provider evaluations, solution provider contract negotiations, sales, marketing and program management activities. Retex program offerings are finalized when the contract negotiated (e.g. Master Agreement) with each prospective Solution Provider is signed. This document provides a full description of the services and/or products offered. Additionally, Retex pre-negotiates concessions in pricing, procedural, process-related, contractual and protection elements, for its membership. Often, concessions include:

"Most Favored Customer Pricing" arrangements, where the Solution Provider is committed to give better pricing to Retex members than they will offer to ANY other Retailer who does not belong to the consortium.

Retex Cash Refund Payments - Retex sends additional program savings (over and above the Solution Provider-discounted invoice amount) directly to member companies, based on their individual company's level of program participation.

Aggregated Retex (consortium-wide) Discounts: These richer discounts are achieved as the membership-wide program participation grows, and volume usage reaches pre-negotiated levels to attain deeper discounts for all to share.

To join Retex, the prospective member company completes a Retex Member Agreement. This permits the retailer to be eligible for participation in Retex's moneysaving programs.

To participate in a Retex Program, the member will wish to customize the arrangement with the Retex Solution Provider by signing an Individual Member Agreement (IMA). Since Retex has already pre-negotiated all major areas of the Solution Provider's service contract (e.g. Master Agreement), this IMA addendum allows you to further define any unique contract elements needed to meet your company's specific business requirements.

To complete the program enrollment process, the member signs a separate Program Agreement with Retex for each Solution Provider offering they wish to join. This agreement is used to activate the member's receipt of their Retex Refund (if available through the program). Some Solution Providers will not release your refund until this document is signed.
